Chewy to Acquire Modern Animal
Chewy announced in April that it has entered into a definitive agreement to acquire Modern Animal, a technology-enabled veterinary care provider, in a move designed to accelerate the company’s evolution into a fully integrated pet healthcare ecosystem.
The acquisition will add 29 Modern Animal clinics and significantly expand Chewy’s physical veterinary presence nationwide. Once completed, Chewy Vet Care’s footprint will grow from 18 to 47 locations, while adding more than $125 million in annualized run-rate revenue.
Modern Animal brings a tech-forward model that includes membership-based care, 24/7 virtual services, and purpose-built veterinary clinics. The company also serves more than 100,000 member families and has demonstrated strong clinic-level performance, including revenue per location more than double the industry average and EBITDA margins exceeding 20% for mature locations, according to Chewy.
Building a connected care ecosystem
Chewy leadership said the deal supports its long-term strategy to integrate care, commerce and services across the pet life cycle.
“Modern Animal perfectly complements our strategy to become the preeminent end-to-end pet health ecosystem,” said Chewy CEO Sumit Singh in the announcement. The acquisition, he added, “accelerates our Vet Care expansion, drives higher long-term customer value and creates a clear competitive moat in the industry.”
Steven Eidelman, founder and CEO of Modern Animal, said both companies share a vision for improving access and experience in veterinary care. The combined organization aims to expand access to care while improving the experience for both pet owners and veterinary teams.
Chewy expects the acquisition to be EBITDA-dollar neutral in fiscal year 2026, with a clearer path to profitability beginning in 2027 as clinics mature. The company also anticipates revenue synergies from integrating Modern Animal into its broader ecosystem, including increased customer engagement and cross-category purchasing.
The integration is expected to generate a 15% to 20% increase in net sales per active customer within Chewy’s veterinary network.
Modern Animal emphasized that the acquisition will not immediately change operations for pet owners or veterinary teams. According to a FAQ published by the company following the announcement, all clinics will remain open and continue operating as usual, with no changes to veterinarians, care teams or scheduled appointments. The company also noted that prescriptions, surgeries and other services will proceed without disruption.
The company also said there are no planned changes to membership pricing or benefits. Modern Animal memberships and Chewy wellness plans will continue to operate separately for now, and the Modern Animal app will remain the primary platform for appointments and communication with care teams. Additionally, pet medical records will continue to be managed by Modern Animal, and clinics will not immediately integrate with Chewy locations.
Looking ahead, Modern Animal described the partnership as an opportunity to expand access to care while maintaining its current experience. “For members today, nothing changes,” the company stated, adding that the partnership will allow Modern Animal to continue investing in high-quality veterinary care and growth over time, with any future updates communicated directly to customers.
Expanding in a growing market
The move underscores Chewy’s growing investment in veterinary services, a market estimated at approximately $40 billion in 2025 and growing about 5% annually. Chewy plans to leverage its more than 21 million active customers, prescription platform, Autoship program and clinic network to strengthen its position in the evolving pet healthcare landscape.
